2.1. Acceptance of Terms

By accessing or using the Delegatoo platform (“the Platform”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Platform.

These Terms apply to all users, including Clients (business owners seeking Virtual Assistants) and Virtual Assistants (independent contractors offering services).

Delegatoo is a product and brand operated by Movevirtual LLC (“Movevirtual,” “we,” “us,” or “our”), and references to “Delegatoo” in these Terms refer to Movevirtual operating under the Delegatoo brand.

2.2. About Delegatoo

Delegatoo is a product and brand operated by Movevirtual LLC, a company registered in [Jurisdiction]. Delegatoo is a “doing business as” (DBA) name of Movevirtual. Movevirtual (doing business as Delegatoo) operates a marketplace platform that connects business owners and operators with independent Virtual Assistants and provides tools for communication, invoicing, and job posting.

Movevirtual is not an employer, staffing agency, or party to any working arrangement between users. We do not employ, supervise, or manage Virtual Assistants. Any working arrangement entered into between a Client and a Virtual Assistant is a direct, independent relationship solely between those parties.

2.3. Eligibility

You must be at least 18 years of age to use the Platform. By registering, you represent that:

You meet the minimum age requirement
You have the legal capacity to enter into these Terms
All information you provide is accurate and complete
You will keep your account information up to date

2.4. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

Notify us immediately at contact@delegatoo.com if you suspect unauthorized access to your account
Not share your account with others
Not create multiple accounts for the same person

We reserve the right to verify your identity and require additional information to maintain account security.

2.5. Platform Subscriptions (Clients)

Access to certain Client features (such as browsing VA profiles and messaging VAs) requires an active paid subscription.

Billing: Subscriptions are billed on a recurring basis (monthly or annually depending on the plan selected) via Stripe. By subscribing, you authorize Movevirtual LLC (DBA Delegatoo) to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

No refunds: Subscription fees are non-refundable except where required by law or at our sole discretion. Partial-period refunds are not issued.

Failed payments: If a payment fails, your subscription will enter a grace period. If payment is not resolved within that period, access to paid features may be suspended.

Plan changes: We reserve the right to change subscription pricing or plans. We will provide at least 30 days’ notice before price changes take effect for existing subscribers.

2.6. Invoicing

Delegatoo provides a built-in invoicing tool that allows VAs to send invoices to Clients directly through the Platform.

Delegatoo is not a party to any invoice. Invoices are agreements solely between the VA and the Client.
Payment is between the parties. Movevirtual LLC (DBA Delegatoo) does not process invoice payments. The Client and VA are responsible for arranging payment outside the Platform.
Accuracy: VAs are responsible for the accuracy of all invoice information. Clients are responsible for reviewing invoices before agreeing to pay.
Disputes: Any disputes arising from invoices or work arrangements are between the Client and VA. Movevirtual LLC (DBA Delegatoo) has no obligation to mediate or resolve such disputes, though we may assist at our discretion.
Record-keeping: Invoice data may be retained for up to 7 years for financial record-keeping purposes, even after account deletion.

2.7. Acceptable Use

You agree not to:

Post false, misleading, or fraudulent information
Use the Platform for any unlawful purpose
Harass, threaten, abuse, or harm other users
Send spam or unsolicited commercial messages
Attempt to gain unauthorized access to the Platform, other user accounts, or our infrastructure
Use automated tools, bots, or scrapers to collect data from the Platform without our written consent
Misrepresent your identity, qualifications, or affiliation
Post job listings or profiles not genuinely seeking or offering VA services
Solicit users to transact outside the Platform in a way that circumvents any applicable Platform fees

Violations may result in account suspension or permanent termination.

2.8. User Content

You retain ownership of content you create and upload to the Platform, including your profile, job posts, messages, and work samples (“User Content”).

By submitting User Content, you grant Movevirtual LLC (DBA Delegatoo) a non-exclusive, worldwide, royalty-free license to store, display, and reproduce your User Content solely as necessary to operate and provide the Platform. We will not use your User Content for advertising or commercial purposes without your consent.

You represent that:

You own or have the rights to all User Content you submit
Your User Content does not infringe any third party’s intellectual property, privacy, or other rights
Your User Content complies with these Terms and all applicable laws

We reserve the right to remove User Content that violates these Terms or that we determine, in our sole discretion, to be harmful or inappropriate.

2.9. Platform Content and Intellectual Property

All content provided by Movevirtual LLC (DBA Delegatoo) — including logos, design, text, graphics, and platform code — is the property of Movevirtual LLC (DBA Delegatoo) and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written permission.

2.10. Moderation and Enforcement

We reserve the right to review, moderate, and remove content or suspend accounts that violate these Terms. We may issue warnings, restrict features, or permanently ban users at our discretion.

In cases of severe or repeated violations (e.g., harassment, fraud, or illegal activity), we may report users to law enforcement.

2.11. Platform Role and Disclaimer

Movevirtual LLC (DBA Delegatoo) provides tools to help Clients and VAs connect and work together. We do not:

Verify the accuracy of all user-provided information (e.g., claimed skills, experience, or credentials)
Guarantee the quality, suitability, or reliability of any VA or Client on the Platform
Guarantee that Clients will find a suitable VA, or that VAs will find work
Take responsibility for any working arrangement, dispute, or outcome between a Client and VA

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

2.12. Limitation of Liability

To the fullest extent permitted by applicable law, Movevirtual LLC (DBA Delegatoo) and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Platform, including but not limited to:

Loss of data, revenue, profits, or business opportunities
Disputes between Clients and VAs
Unauthorized access to your account
Any conduct or content of third parties on the Platform

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total amount you paid to Delegatoo in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow limitation of certain damages, so the above may not fully apply to you.

2.13. Indemnification

You agree to indemnify and hold harmless Movevirtual LLC (DBA Delegatoo) and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Platform
Your User Content
Your violation of these Terms
Your violation of any applicable law or third-party rights

2.14. Account Termination

By you: You may delete your account at any time through your account settings or by contacting us. Upon deletion, your profile and personal data will be removed subject to the retention rules in our Privacy Policy. Active subscriptions will not be refunded upon voluntary account deletion.

By us: We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, suspected fraud or abuse, inactivity, or any other reason at our sole discretion. Where possible, we will provide notice before termination.

Effect of termination: Upon termination, your right to use the Platform ceases immediately. Content you have shared with other users (e.g., messages, applications) may remain visible to those users.

2.15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. The “Last Updated” date at the top will reflect the most recent version. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

2.16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States. You consent to personal jurisdiction in those courts.
